LICENSE AGREEMENT AND WARRANTY DISCLAIMER

IMPORTANT READ CAREFULLY: This DesktopPlus license agreement ('AGREEMENT')
is a legal agreement between you, either an individual or a single entity ('USER') and
Advanced Computing Solutions ('ACS') for the product DesktopPlus ('DP'), which
includes computer software and associated media and printed materials (if any), and
may include online or electronic documentation. By installing, copying, transfering or
otherwise using DP, USER agrees to be bound by the terms of AGREEMENT. If USER
does not agree to the terms of AGREEMENT, USER is not authorized to use, copy or
transfer DP.

EVALUATION VERSION LICENSE
USER is hereby licensed to: use DP for a 30 day evaluation period; make as many
copies of DP as USER wishes; give exact copies of DP to anyone; and distribute
DP in its unmodified form via electronic means. There is no charge for any of the
above. USER is specifically prohibited from charging, or requesting donations, for
any such copies, however made; and from distributing the software and/or
documentation with other products (commercial or otherwise) without prior written
permission from ACS.

EVALUATION AND REGISTRATION
DP is not free software. AGREEMENT allows USER to use DP, for evaluation purposes,
without charge for a period of 30 days. If USER uses DP after the 30 day evaluation
period a registration fee is required. Details on how to order DP are detailed in the
online help file, which accompanies DP. Additionally, ordering details can be found at
the web site http://www.desktopplus.com/register.html.

GOVERNING LAW
This agreement shall be governed by the laws of Denmark (DK).

DISCLAIMER WARRANTY
DP is sold "as is" and without warranties as to performance or merchantability or any
other warranties whether expressed or implied. Because of the various hardware and
software environments into which DP may be introduced, no warranty of fitness for a
particular purpose is offered. Good data processing procedure dictates that any
program be thoroughly tested with non-critical data before relying on it. The user must
assume the entire risk of using the program. ACS and its suppliers' entire liability, and
USER's exclusive remedy shall be at ACS' option, either (a) return of the price paid, or
(b) repair or replacement of the software that does not meet ACS' Limited Warranty
and which is returned with proof of purchase.
